okcCoCo Members Terms of Use Agreement
1) Definitions:
"Premises" shall mean all the space leased by the okcCoCo at 723 Hudson Ave., Oklahoma City, County of Oklahoma, State of Oklahoma.
"Building" shall mean the office building at 715-723 Hudson Ave., Oklahoma City, County of Oklahoma, State of Oklahoma.
"Property" shall mean both the land and building located at 715-723 Hudson, Oklahoma City, County of Oklahoma, State of Oklahoma.
"Common Areas" shall mean all of those areas located within the Building or on the Property used for corridors, entrances, exits, sidewalks, skywalks, tunnels, driveways, parking areas, parking garages, landscaped areas or other similar areas provided for common use of Building tenants or the public.
"Secured Area" shall mean the area on the upper level of the okcCoCo that is only accessible via key and/or card access.
"Fixed Desk Area" shall mean the area located in the Secured Area configured as a shared workspace with a number of individual workspaces, each delineated as a suite. Each suite in the Fixed Desk Area is furnished with tables, chairs, and a lockable filing cabinet.
"Suite" shall refer to either a delineated space in the Fixed Desk Area or a single office.
2) okcCoCo will provide services (hereinafter called collectively, "Services") depending on the level of membership as fair exchange for membership fees paid by the member.
3) Member agrees to be fully responsible for any breakage, damage, or destruction which may be caused by Member or Member's guests. Member shall reimburse okcCoCo for all expenses, damages, or costs incurred by okcCoCo by reason of said breakage.
4) Services will be available during the hours of access provided for by each membership level. Business hours are 9am to 9pm Monday through Saturday. Services may be limited for the purposes of special events and holidays. Notice of service limitations will be posted in advance. Business hours may be changed, or limited for special events and holidays. Changes in business hours will be posted in advance of taking effect.
5) Member must read, understand and agree to all okcCoCo policies including the Community Guidelines, okcCoCo Rules, Network and Internet Usage Rules, Service Regulations, and Privacy Policy.
6) All keys or other access control devices, whether provided by okcCoCo or duplicated by User must be turned over to okcCoCo at the termination of this Agreement. There is a key replacement fee of $50 per key.
7) Member shall not use the Services, Premises or Property for any purpose that is unlawful. Member will not use the Services in any manner that could damage, disable, overburden, or impair any okcCoCo property or interfere with the use and enjoyment of the Services by any other Members. You may not attempt to gain unauthorized access to any Services, accounts, computer systems or networks through hacking, password mining or any other illegal means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available by okcCoCo.
8) Disclaimer of Warranties - To the maximum extent permitted by applicable law, okcCoCo provides the services "as is" and hereby disclaims all warranties and conditions, express and implied, with regard to the content, including, without limitation, any warranties of accuracy, reliability, title, merchantability, non-infringement, fitness for a particular purpose or any other warranty, condition, guarantee or representation, whether oral, in writing, or in electronic form, including the accuracy or completeness of any information provided by okcCoCo.
9) Limitation of liability. To the maximum extent permitted by applicable law, in no event shall okcCoCo or their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly and individually be liable for any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but not limited to, damages for: loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care), negligence, and any other pecuniary or other loss whatsoever) arising out of or in any way related to the participation in or inability to participate in or use of the services, the provision of or failure to provide services, or otherwise under or in connection with any provision of this Agreement, even in the event of the fault, tort (including negligence), strict liability, breach of contract or breach of warranty of okcCoCo and even if okcCoCo has been advised of the possibility of such damages.
10) This Agreement is entered into in the State of Oklahoma and shall be governed by and construed in accordance with the laws of the State of Oklahoma, exclusive of its choice of law rules. Each party to this Agreement hereby submits to the exclusive jurisdiction of the state and federal courts sitting in the County of Oklahoma in the State of Oklahoma, and waives any jurisdictional, venue or inconvenient forum objections to such courts. In any action to enforce this Agreement, the prevailing party will be entitled to costs and attorneys' fees.
11) This Agreement may be terminated by either party for any reason with a 30 day notice delivered in writing. However, Member may only terminate this Agreement if and only if all fees have been paid in full.
12) Failure to abide by the terms in this Agreement will place the Member in default and at the discretion of okcCoCo will result in immediate termination of the Agreement, and access to all rights and services provided by this Agreement.
13) If any provision of this Agreement shall be unlawful, void or unenforceable for any reason, the other provisions (and any partially-enforceable provision) shall not be affected thereby and shall remain valid and enforceable to the maximum possible extent.
